1Scope

These terms apply to hardware and services supplied by GPULoom. They apply together with the quotation or proforma invoice we issue for your order and with our Shipping & Warranty terms.

2Quotations

Every quotation is issued for a specific configuration, quantity and destination. Prices and availability are subject to confirmation at the time of order. Quotations are valid for the period stated on the quotation itself.

3Orders

An order becomes binding when we confirm it in writing — typically a proforma invoice or order confirmation. Configuration-specific items are sourced on request; lead time and supply route are confirmed at that point.

4Products and condition

Products are supplied as factory-new, new-old-stock or certified pre-owned as stated in the quotation. Specifications follow the manufacturer datasheets. Units are inspected and verified before dispatch.

5Payment

Payment terms are stated in the quotation or proforma invoice. Ownership of the goods passes to you after full payment; risk passes in accordance with the delivery term agreed in the quotation.

6Delivery, export and customs

Delivery is arranged under the Incoterms rule stated in the quotation. Export licences and import duties are the responsibility of the party indicated in the quotation. Delivery dates are estimates unless expressly agreed as fixed dates.

7Warranty and returns

Warranty scope, inspection windows and return handling follow our Shipping & Warranty terms and Refund & Returns Policy.

8Limitation of liability

As a business-to-business supplier, our aggregate liability under any order is limited to the amount paid for the affected goods. We are not liable for indirect or consequential loss such as lost profit or loss of data, except where such a limitation is unenforceable under mandatory law.

9Governing law

These terms are governed by the laws of the People’s Republic of China. The parties will first attempt to settle any dispute amicably; failing that, disputes are referred to a competent court or arbitration in Beijing, China.
