These Terms of Sale apply to quotations and sales by GPULoom unless a signed agreement or quotation states otherwise.
1. Quotations and orders
Product specifications, condition, quantity, price, availability and lead time are confirmed for each inquiry. An order becomes binding only after written acceptance by GPULoom.
2. Product information
We make reasonable efforts to provide accurate descriptions and compatibility information. Buyers are responsible for confirming that the selected configuration is suitable for their intended environment before ordering.
3. Pricing and payment
Prices, currency, payment schedule and banking instructions are stated in the applicable quotation or invoice. Taxes, duties and bank charges are the buyer’s responsibility unless otherwise agreed in writing.
4. Availability and lead time
Enterprise hardware availability can change quickly. Estimated lead times are not guaranteed until the order is accepted and payment requirements are satisfied.
5. Shipping, customs and risk
Shipping method, Incoterms, insurance and transfer of risk will be stated in the quotation or sales agreement. The buyer is responsible for import permits, customs clearance, duties and local compliance unless otherwise agreed.
6. Inspection and discrepancies
Please inspect shipments promptly. Visible damage, shortages or incorrect items should be reported in writing with supporting photographs and documents within the period stated in the quotation or warranty terms.
7. Warranty and returns
Warranty coverage and return eligibility vary by product condition, manufacturer and transaction. The terms confirmed in the quotation, invoice or our Shipping & Warranty page apply. Returns require prior written authorization.
8. Export compliance and end use
Orders are subject to applicable export-control, sanctions and end-use requirements. We may request end-user or destination information and may decline or cancel a transaction when required for compliance.
9. Limitation of liability
To the extent permitted by applicable law, GPULoom is not liable for indirect, incidental or consequential losses. Any transaction-specific liability limits will be stated in the governing quotation or sales agreement.
10. Governing terms
If these terms conflict with an accepted quotation or signed agreement, that document controls. Governing law and dispute venue, where applicable, will be specified in the transaction documents.
